Job Description

- Supports all activities related to board and legal entity governance for designated subsidiaries in the U.S.

- Coordinate corporate secretarial activities, for regulated and unregulated U.S. subsidiaries, as designated by the Subsidiary Governance Office in the U.S.

- Provide support to the directors, officers and business contacts of U.S. subsidiaries on governance issues

- Assist with implementation of structural changes and initiatives affecting U.S. subsidiaries, including preparation and drafting of related filings and associated statutory reviews

- Provides corporate secretarial support for designated subsidiaries in the U.S., including planning and preparation of materials for Board and Committee meetings, preparation and drafting of corporate resolutions, and meeting minutes

- Assist in performing governance reviews of U.S. subsidiaries

- Key role in execution of designated internal corporate restructuring and acquisition integration

- Assist with formations, qualifications, liquidations and dissolutions of legal entities in the U.S.

- Provide support and assistance to Subsidiary Governance Officiers in the U.S. and others across the enterprise on matters relating to U.S. corporate governance

- Carries out responsibilities in conformity with prescribed deadlines and in compliance with all legal, regulatory and tax requirements as well as RBC policies and delegated authorities

- Responsible for data integrity in Global Entity Management Database (GEMS ) as it relates to designated U.S. subsidiaries

- Responsible for oversight of corporate records of designated US subsidiaries

The Successful Applicant

- Corporate paralegal/corporate governance experience within a major financial company or AMLAW200 law firm

- Experience in executing corporate transactions

- Conversant with U.S. corporate laws

- Corporate secretarial experience, particularly if gained in a regulated financial institution

- Team player, solutions-oriented and collaborative

- Superior written and oral communication skills

- Highly organized, able to prioritize and manage multiple tasks

- Sound computer skills, able to adapt and apply new technologies

- Fast-paced environment requiring quick turnaround and timely completion of task in accordance with timelines

- Experience with GEMS or another similar entity management system is highly preferred
