Job Description

Tasks to include:

  • Working with the business units (origination, coverage and syndicate) on structuring and new product development
  • Drafting, amending and/or reviewing and advising on pre-transaction documents e.g. pitch documents, exclusivity arrangements, mandate letters, support letters, term sheets
  • Drafting and reviewing transaction documents
  • Reviewing and advising on comfort letters, legal and disclosure opinions and other conditions precedent
  • Providing advice in relation to the legal structuring of transactions
  • Transaction management/execution
  • Instructing and managing external counsel (including developing strong relationships with law firms) and legal fees
  • Assisting with the production of standard forms and templates
  • Providing advice in relation to event driven issues such as events of default, covenant breaches and waivers, noteholder procedures, trustee and intercreditor issues, acceleration and enforcement, reservation of rights and considering and advising with respect to the impact on the bank's financial position
  • Advising on legal and reputational risk management within the bank
  • Communicating commercial consequences of risk issues to business areas
  • Providing product knowledge support to the non-core division.

The Successful Applicant

Your Skills and Qualifications will include

  • Top-tier private practice experience in a structured finance team
  • Familiar with, and able to demonstrate responsibility for, a range of structured finance debt offerings, structures, underlying asset and issuer types
  • Quality product, technical and legal (and other) risk awareness skills
  • Able to demonstrate commercial understanding, good judgment on legal risk decisions and when to escalate
  • Able to demonstrate exposure to innovative deals and structuring
  • Able to articulate the firm's governance and risk policies
  • Transaction management skills
  • Strong interpersonal and communication skills
  • Confident, able, quick to learn
  • Works effectively as part of a team
  • Produces results in the face of adversity
