Assistant General Counsel

• Advise on legal ramifications of investments and investment structures
• Review transactional documentation including limited partner agreements, subscription documents, side letters and related investment materials
• Draft and review contracts and agreements, including consents, nondisclosure agreements and other business-related documentation
• Assist with business structure and governing entity documents, compliance and policies and procedures
• Assist with maintenance and periodic reviews of shareholder and operating agreements
• Assist with regulatory filings (HSR, Section 13) and family office exemption compliance
• Monitor the external regulatory environment to identify trends and risks, and advise on applicable laws, regulations and guidance
• Assist with periodic board reporting and presentation materials
