Job Description

The Assistant General Counsel will be responsible for:

  • Overseeing all securities and public company governance matters
  • Compliance with Securities and Exchange Commission and NYSE rules and regulations
  • Partnering with finance and accounting teams to manage SEC filings (such as Forms 10-K, 10-Q etc.)
  • Advise management on securities law compliance and disclosure matters
  • Act as a liaison between company and public
  • Provide legal support for corporate transactions - including: securities offerings, financings, investments and other strategic transactions

The Successful Applicant

Successful Assistant General Counsel candidates should possess the following qualifications:

  • JD
  • 5+ years of experience - ideally a combination of private practice work as well as in-house experience, with a focus on securities and public company disclosure work
  • Securities & Corporate Law Experience
  • IPO experience - required
