Our Client is seeking an ambitious Corporate Paralegal with experience in corporate governance, section 16, vendor and commercial contract review and other related tasks.

Job Description

  • Assist in preparing materials for board and committee meetings, including attending sessions and documenting key discussions.
  • Support the drafting, review, and filing of SEC reports and regulatory disclosures, including Forms 10-K, 10-Q, and 8-K.
  • Prepare and track Section 16 filings and maintain accurate records of insider stock ownership.
  • Collaborate with attorneys on corporate governance tasks, including NYSE compliance and internal reporting.
  • Help coordinate earnings releases, analyst calls, and corporate press communications.
  • Review and organize commercial contracts, vendor agreements, and employment-related documents.
  • Contribute to legal due diligence and documentation for strategic transactions, securities offerings, and reorganizations.
  • Provide support on intellectual property, compliance policies, real estate matters, and routine litigation tracking.

The Successful Applicant
