Job Description
Main Duties & Responsibilities:
- Assist with daily matters, including consents, formations, dissolution, drafting board resolutions, secretary certificates, and legal entity rationalization projects.
- Lead the annual election process of officers and directors.
- Maintain internal database of corporate information and documents, create ad hoc reports/.
- Help with U.S Board meeting matters, including scheduling, prepping draft agendas, distributing meeting materials, and liaising with presenters.
- Track and close action items from Board & Committee meetings to ensure they are completed in a timely manner.
- Compose and critique documentation relating to the firm's organizational structure, director & officer information, and related materials.
- Keep internal documentation up to date. This includes the forward agenda of planned discussion.
- Draft up a response to corporate legal structure information queries, both internal and external.
- Deal with the signing authorities for North and South America.
- Respond to audit and regulatory requests.
- Collaborate with Corporate Secretary team in Poland with respect to U.S. matters.

The Successful Applicant
Qualifications:
- Bachelor's Degree with excellent academic credentials. Law Degree is a plus.
- Previous work experience within banking, financial services, or corporate.
- Strong computer and Microsoft Office Suite skills.
- Confident and comfortable collaborating on a multitude of projects, and problem solving.
- Experience working cross-functionally and collaborate across multiple lines of business.
- Candidate is willing to commute to the NYC office on a hybrid schedule.
- Understanding the importance of diversity within the workplace, and a desire to foster inclusion.
