Our client is an international leader in wealth management. This role is in Manhattan, NY.

Job Description

Main Duties & Responsibilities:

  • Assist with daily matters, including consents, formations, dissolution, drafting board resolutions, secretary certificates, and legal entity rationalization projects.
  • Lead the annual election process of officers and directors.
  • Maintain internal database of corporate information and documents, create ad hoc reports/.
  • Help with U.S Board meeting matters, including scheduling, prepping draft agendas, distributing meeting materials, and liaising with presenters.
  • Track and close action items from Board & Committee meetings to ensure they are completed in a timely manner.
  • Compose and critique documentation relating to the firm's organizational structure, director & officer information, and related materials.
  • Keep internal documentation up to date. This includes the forward agenda of planned discussion.
  • Draft up a response to corporate legal structure information queries, both internal and external.
  • Deal with the signing authorities for North and South America.
  • Respond to audit and regulatory requests.
  • Collaborate with Corporate Secretary team in Poland with respect to U.S. matters.

The Successful Applicant


  • Bachelor's Degree with excellent academic credentials. Law Degree is a plus.
  • Previous work experience within banking, financial services, or corporate.
  • Strong computer and Microsoft Office Suite skills.
  • Confident and comfortable collaborating on a multitude of projects, and problem solving.
  • Experience working cross-functionally and collaborate across multiple lines of business.
  • Candidate is willing to commute to the NYC office on a hybrid schedule.
  • Understanding the importance of diversity within the workplace, and a desire to foster inclusion.
