Description
- Lead all drafting, editing, negotiating, reviewing, and interpreting of Business Development agreements, contracts, and term sheets
- Lead legal due diligence, counsel on transaction structures and business terms, and participate in all negotiations
- Collaborate with colleagues in finance, tax, research and development and commercial functional areas of the company, as well as with intellectual property attorneys and other subject matter experts as needed
- Assist with all phases across the deal spectrum, including opportunity identification and assessment, business case development, negotiating and contracting
- Prepare Business Development business cases by working cross-functionally to identify key risks, opportunities, and inputs/drivers for financial model
- Strong negotiation skills: ability to represent company interests and engage global and local partners
The Successful Applicant
- J.D. degree (or foreign equivalent)
- 5+ years of attorney experience (preferably both in-house and at a law firm) with a background in pharma/biotech transactions is a must
- Experience drafting and reviewing agreements of various deal structures
- Experience leading contract negotiations
- Strong understanding of biotech/pharma sector
- Ability to think strategically and to work independently
- English language proficiency required
