Our client is a clinical-staged biotechnology which develops drugs and therapies including across oncology, vaccines, biologics, and rare disease. Due to demand, the business has expanded exponentially with a head count already of over 700 employees globally and 100 based in the Boston/Cambridge area.

  • Lead all drafting, editing, negotiating, reviewing, and interpreting of Business Development agreements, contracts, and term sheets
  • Lead legal due diligence, counsel on transaction structures and business terms, and participate in all negotiations
  • Collaborate with colleagues in finance, tax, research and development and commercial functional areas of the company, as well as with intellectual property attorneys and other subject matter experts as needed
  • Assist with all phases across the deal spectrum, including opportunity identification and assessment, business case development, negotiating and contracting
  • Prepare Business Development business cases by working cross-functionally to identify key risks, opportunities, and inputs/drivers for financial model
  • Strong negotiation skills: ability to represent company interests and engage global and local partners

The Successful Applicant

  • J.D. degree (or foreign equivalent)
  • 5+ years of attorney experience (preferably both in-house and at a law firm) with a background in pharma/biotech transactions is a must
  • Experience drafting and reviewing agreements of various deal structures
  • Experience leading contract negotiations
  • Strong understanding of biotech/pharma sector
  • Ability to think strategically and to work independently
  • English language proficiency required
