Job Description

  • Oversee the creation of new corporate entities, including selecting the legal name, drafting formation paperwork, and managing all required signatures and jurisdiction-specific filings.
  • Prepare and submit documents needed to register companies to operate in states or regions outside their main place of formation.
  • Organize and update corporate records such as minute books, ownership logs, and other governance documents.
  • Maintain clients' equity and ownership information using specialized cap table management platforms.
  • Support the preparation of employment agreements, option documents, stock plans, purchase contracts, and other standard corporate instruments.
  • Conduct research related to securities compliance ("blue sky" matters) and complete any required state or federal forms or reports for regulatory bodies.
  • Assist with the procedures involved in formally winding down or dissolving corporations or other business entities.
  • Contribute to transaction closings by assembling necessary materials, coordinating documentation, and participating in pre‑closing and closing sessions.
  • Draft and review routine deal-related documents-such as signature blocks, officer certificates, and correspondence-particularly for clients in technology, energy, and financial industries.

The Successful Applicant

A successful Paralegal in the Technology Companies Group should have:

  • A bachelor's degree is required, and a paralegal certificate from an ABA-approved training program is preferable
  • 5+ years of relevant experience
  • Excellent organizational and multitasking skills.
  • Proficiency in legal research and documentation tools.
  • Strong communication and interpersonal abilities.
  • Attention to detail and a commitment to accuracy.
  • A proactive approach to problem-solving and collaboration.
