Job Description

The Senior Corporate Counsel will be an integral part of the North American business and will be responsible for advising business leadership on a wide range of corporate legal matters and renewable energy transactional matters.

Main Responsibilities:

  • Advise on restructuring projects, corporate actions to oversee and advice required on the client's complex ownership structure, inter-company framework and financing arrangements
  • This role will also involve advising on corporate and transactional legal matters, including: the integration of new business acquisitions, entity formation and restructuring, capital restructuring, corporate compliance, financing deals, tax matters, etc.
  • Advise the company on real estate transactions for energy matters
  • Advise on regulatory and compliance matters pertaining to the renewable energy sector
  • Manage outside counsel

The Successful Applicant

Qualifications:

  • JD from a US ABA-accredited law school
  • 6+ years of relevant experience, preference for at least two years at a leading law firm in the M&A or Energy Practice or in-house at a fast-paced corporate legal group for a multi-national enterprise within the energy/renewables industry
  • Member of a US State Bar
  • Must have experience leading the acquisition process from a legal perspective, managing deals from start to finish, including the drafting and negotiation of transactional and related contracts, due-diligence
  • Experience working directly with heads of business units and internal clients
  • Willingness to take initiative and work on other projects
