Job Description

Bank is seeking a Senior Counsel to handle legal matters related to global markets transactions, derivatives, structured products and loan documentation. Reports to Deputy GC.


  • Provide support to the Prime Services and OTC businesses, advising the front office and other internal stakeholders on legal and regulatory matters related to the business
  • Assist the documentation team with the review and negotiation of a wide range of agreements, including prime brokerage agreements, lock-up agreements, securities lending agreements, repurchase agreements, ISDA Agreements, MCAs, custody agreements, and other capital markets transaction documents
  • Assist in updating or creating standard templates
  • Keep current on the regulatory environment for emerging legislation and policy statements, along with relevant trends.

The Successful Applicant

  • JD from top US law school
  • NY State Bar Admission
  • At least 5-8+ years of broad-based professional U.S. legal experience gained at a top law firm and in-house with with an emphasis on equity prime brokerage transactions
  • Strong experience with all documentation matters, including experience drafting and negotiating prime brokerage agreements, ISDA, MCAs, etc.
  • Strong knowledge of US securities laws, including the Securities Act, the Exchange Act, FINRA broker-dealer rules, CFTC rules and regulations, and insolvency law frameworks
  • Experience with financial & commodities futures and cleared OTC derivatives
  • Excellent communication skills
