Job Description

Incorporate, amend, qualify, and dissolve business entities. * Order certified charter and good standing documents from State offices. * Assist in due diligence reviews. * Act as liaison with Financial Printers and the SEC. * Oversee and update the Capital Markets database and Weil EDGAR Archives * Draft ancillary documents under attorney supervision, including secretary certificates, bylaws, resolutions, notes, stock certificates, stock powers, collateral receipt letters, etc. * Proofread and revise transaction documents (e.g., Prospectus, Registration Statement, Indenture, Underwriting Agreement, etc.) * Disseminate documentation to clients and to outside parties; work efficiently with firm support services, such as, Reprographics, Document Production, outside couriers. * Prepare documents for execution; notarize and review closing agreements. Coordinate with outside parties so that they provide documents for which they are accountable. * Create closing checklist and working group list; draft signature pages and assist with preparation of schedules and exhibits. Proof documents and track the status of document preparation. Incorporate client and outside counsel comments in documents. Compile executed documents and save onto internal document management system (DeskSite). * Organize and distribute originally executed agreements to client and outside counsel. Compile and index documents for preparation of closing binder. Assemble and distribute closing binders in a timely fashion. * Any additional responsibilities as required by management.

The Successful Applicant

Knowledge, Skills & Abilities: * 5+ years of experience in a Corporate transactional practice group. * Law firm experience. * Prior experience conducting and reporting on due diligence reviews. * Outstanding written and oral communication skills and must be able to thrive in a fast-paced, deadline driven environment. * Ability to manage multiple projects at the same time. * Excellent attention to detail. * Highly developed interpersonal skills with the ability to interact with Attorneys confidently and graciously, Partners, Paralegals, and all staff members; and * Strong document management skills and proficiency Word, Adobe, and Excel. Education/Certifications: * BA/BS from an accredited 4-year college or university with strong academic record.
