Job Description

  • Draft correspondence and documentation under lawyer supervision.
  • Assist with due diligence matters by organizing and reviewing documents.
  • Revise, proofread, and distribute draft agreements and other transactional documents.
  • Gather, organize, and maintain precedent collections.
  • Assist with reviewing collateral documentation.
  • Perform lien searches with detailed review.
  • Prepare and file various liens with applicable jurisdictions.
  • Prepare, distribute, and collect signature pages.
  • Obtain charter documents and good standing certificates from the Secretary of State in applicable jurisdictions.
  • Assist attorneys with pre-closing and closing transactions.
  • Handle post-closing matters, including the preparation of closing sets.
  • Conduct factual research assignments and draft memoranda.
  • Coordinate with internal and external working groups to facilitate transaction execution.

The Successful Applicant

  • Ability to manage a varied workload and meet deadlines.
  • Must be punctual and reliable.
  • Proficient in MS Word, Excel, PowerPoint, Outlook, and other applications as needed.
  • Strong interpersonal skills and ability to work collaboratively with lawyers and staff.
  • Excellent written and verbal communication skills.
  • Strong organizational skills and attention to detail.
  • Ability to proofread typed material for typographical, spelling, and grammatical errors.
  • Ensure confidentiality of all firm and client documentation and information.



Education and/or Experience:

  • Bachelor's degree with a strong academic record is required.
  • Minimum of 3+ years of related experience preferred.
