Job Description

The Associate General Counsel will report to the General Counsel and will be responsible for:



  • Work closely with the internal treasury and securitization teams on a variety of legal matters, including helping to manage the relationships with outside financial institutions that the company works with.


  • Offer specialized legal support for the company's financing activities, including the establishment and management of mortgage warehouse and repurchase facilities, as well as secured and unsecured credit facilities.


  • Provide expert legal counsel on matters related to Collateralized Loan Obligations (CLOs) and securitizations, ensuring all transactions comply with relevant laws and best practices within the financial industry.


  • Advise on and structure bridge and mezzanine financing transactions.


  • Assist corporate compliance and corporate governance as needed.


  • Drafting, reviewing, and negotiating a wide range of contracts, including those pertaining to corporate operations and strategic partnerships.

The Successful Applicant

  • J.D. with strong academic credentials from an accredited law school
  • Admission to NY State Bar
  • 7+ years of experience with commercial/corporate finance transactions, CLOs, treasury and mortgage warehouse facilities gained at a top NYC law firm or in-house within the industry
  • Experience working with REITs is preferred
  • Strong understanding of commercial real estate finance matters
  • Relevant post-big law in-house experience also considered
  • Excellent communication skills, both written and verbal
  • Team player with ability to provide clear and concise legal advice to the business
