Job Description

Corporate Secretary Duties:

  • Coordinate POA and apostille processes in the US and France
  • Manage signature authority and Business Rules of Use (BRU)
  • Draft board presentations, written consents, and incumbency certificates
  • Maintain legal entity ownership charts and support monthly certifications
  • Collaborate with global teams on governance documentation and approvals
  • Oversee legal systems including GaLexy, Jurisline, SharePoint, and Legisway



Business Management Support:

  • Assist with legal budgeting, accruals, and expense reporting
  • Coordinate onboarding/offboarding of legal staff
  • Support audits and policy reviews
  • Prepare KPI reports and presentation materials



Transactional Support:

  • Provide time-sensitive assistance for legal transactions
  • Coordinate with internal teams to ensure smooth execution of legal processes
