Job Description

  • Lead and support the legal aspects of real estate investment fund formation, fundraising, and closing activities.
  • Draft, review, and negotiate fund governing documents, subscription materials, investor side letters, and related transaction documentation.
  • Coordinate fund closings with internal stakeholders and external advisors.
  • Manage outside counsel and oversee the preparation and execution of closing deliverables.
  • Support fund-level financing transactions, including bridge facilities, warehouse financing arrangements, and related due diligence.
  • Review and negotiate investor transfer documentation and advise internal teams on transfer-related matters.
  • Partner with business stakeholders on new investment products, fund structures, and strategic initiatives.
  • Provide legal support to investment, asset management, and investor relations teams regarding fund governance, investor rights, consent requirements, and other ongoing matters.
  • Oversee KYC and investor onboarding requirements and support related compliance initiatives.
  • Manage regulatory filings and reporting obligations associated with fund operations and ownership structures.
  • Develop and enhance legal processes, procedures, and documentation to support a growing platform.
  • Assist with securities law compliance and other legal and regulatory matters impacting the business.



The Successful Applicant

  • J.D. from an accredited law school with strong academic credentials and admission to at least one U.S. state bar.
  • Approximately 7-10 years of legal experience gained within a leading law firm, investment manager, private equity firm, real estate investment platform, or corporate legal department.
  • Significant experience with investment funds, fund formation, securities law, partnership and limited liability company structures, and related transactional matters.
  • Familiarity with fund financings, investor negotiations, and complex fund governance issues.
  • Experience advising internal business teams and translating legal considerations into practical business solutions.
  • Strong drafting, negotiation, analytical, and legal research skills.
  • Excellent communication and interpersonal skills, with the ability to effectively partner with senior stakeholders across the organization.
  • Commercial real estate investment, development, financing, or private funds experience is highly desirable.
  • Experience supporting tax-advantaged investment structures, affordable housing investments, or government-sponsored development programs is a plus.
  • Self-directed, collaborative, and comfortable operating within a sophisticated, fast-paced investment environment.
